1. Agreement
By purchasing, downloading, or using Memora ("the Software"), you agree to these terms. If you don't agree, don't use the Software. These terms are between you and MARCIO GABRIEL PEREIRA DE CAMPOS TECNOLOGIA DA INFORMACAO LTDA ("Memora", "we", "us"), a company registered in Brazil.
2. License grant
When you purchase Memora, we grant you a non-exclusive, non-transferable license to use the Software, subject to these terms:
- Up to 3 devices per license. Each license entitles you to install and use Memora on up to three (3) devices at a time. You can deactivate a device to free up a slot.
- Personal and professional use. You may use Memora for both personal and professional purposes.
- Lifetime license. If you purchased a lifetime license, it is perpetual with no recurring fees for the version you purchased.
- Subscription license. If you purchased a monthly subscription, your license remains active as long as your subscription is current. If your subscription lapses, your license will be deactivated until you renew.
3. What you can't do
You agree not to:
- Redistribute the Software — don't share, resell, sublicense, or make it available to others.
- Reverse engineer the Software — don't decompile, disassemble, or attempt to extract the source code.
- Remove or alter any proprietary notices, labels, or marks in the Software.
- Use it unlawfully — don't use Memora to violate any applicable laws, including recording laws in your jurisdiction. You are responsible for ensuring you have proper consent to record conversations where required by law.
4. Your data
Memora processes and stores data locally on your device. You own all your data. We have no access to your meeting recordings, transcriptions, notes, or any content processed by the app. See our Privacy Policy for full details.
5. AI accuracy disclaimer
Memora uses local AI models for transcription, summarization, and search. While we strive for accuracy:
- Transcriptions may contain errors, especially with accents, technical jargon, multiple speakers, or poor audio quality.
- AI-generated summaries, action items, and answers may be inaccurate, incomplete, or miss important context.
- Do not rely solely on Memora's output for critical decisions. Always verify important details against your own knowledge and original sources.
6. Updates
Your license includes free updates within the current major version (e.g., all 1.x updates if you purchased version 1). Major version upgrades (e.g., from 1.x to 2.x) may require a separate purchase, though we plan to offer discounted upgrade pricing for existing customers.
7. Refund policy
We offer a 30-day money-back guarantee. If Memora doesn't work for you within 30 days of purchase, contact us for a full refund — no questions asked. Refunds are processed through Paddle, our Merchant of Record. See our Refund Policy for full details.
8. Limitation of liability
To the maximum extent permitted by law:
- Memora is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software.
- Our total liability to you for any claim arising from these terms or the Software shall not exceed the amount you paid for your license.
This doesn't affect any rights you may have under consumer protection laws in your jurisdiction that cannot be waived by contract.
9. Recording laws
Different jurisdictions have different laws about recording conversations. Some require all-party consent, others require only one-party consent. It is your responsibility to understand and comply with the recording laws that apply to you. Memora is a tool — how you use it is up to you.
10. Termination
Your license remains valid as long as you comply with these terms. If you violate these terms, we may revoke your license. Upon termination, you must stop using the Software and delete all copies. Termination does not affect your data — since it lives on your machine, it remains yours.
11. Governing law
These terms are governed by the laws applicable in your jurisdiction. Any disputes will be resolved through good-faith negotiation first. If we can't resolve it, disputes will be handled by the courts of the jurisdiction where Memora is based.
12. Changes to these terms
We may update these terms from time to time. If we make meaningful changes, we'll update the date at the top and notify you where possible. Continued use of Memora after changes constitutes acceptance of the updated terms.
